What is a Confirmation Statement?

A Confirmation Statement is an official document that UK companies must file annually with Companies House. It’s used to confirm that the company’s details on record are correct and up to date.

What Does a Confirmation Statement Include?

It confirms key company details, including:

  • Registered office address

  • Directors and company secretary details

  • Shareholders and their shareholdings

  • People with Significant Control (PSC) (those who own or control more than 25% of the company)

  • SIC code(s) (Standard Industrial Classification codes that define the company’s business activities)

How Often Do You Need to File It?

  • Must be submitted at least once a year (even if there are no changes).

  • The due date is usually a year after the last confirmation statement or the anniversary of the company’s incorporation.
