Does my business need an accountant for company secretarial work?
There is no legal requirement to hire an accountant, however, we think you should focus on doing what you do best, running your business and let us take care of making sure you comply to company laws and regulations.
Can I file the forms myself with companies house?
Yes, but its worth remembering to check your companies articles of association, you may find you need to hold a meeting when changing a director, declaring a dividend or even issuing shares, if we take care of this for you we will become fully familiar with your companies articles of association and make sure the correct forms are filed and supporting documentation such as meeting minutes are typed, signed and statutory registers are updated.
What documents do I need to file at Companies House annually?
Each year, every limited company and LLP must file a confirmation statement for the business. The confirmation statement provides a snapshot of general information about a company’s directors, secretary (where one has been appointed), registered office address, shareholders, share capital and people with significant control. You must include any changes on the annual confirmation statement, including any share transfers or allotment of shares which have taken place since the last confirmation statement was filed.
What happens if I forget to file my annual confirmation statement?
Companies House will usually issue an automatic warning to request that you submit the overdue confirmation statement ASAP. If you do not action this your company could be removed from the register (closed down) and you will no longer be able to trade. You may also receive a fine for breaching the Companies Act 2006.
